Terms & Conditions — Stilo Wellness B.V.

These Terms & Conditions apply to all quotations, orders, and deliveries of products and services provided by Stilo Wellness B.V. (“Stilo”, “we”, “our”, “us”) to professional customers (“you”, “the customer”).
By placing an order, you agree to these terms unless otherwise agreed in writing.
1. General
1.1 These Terms & Conditions apply to all offers, sales, and deliveries by Stilo Wellness B.V., unless otherwise expressly agreed in writing.
1.2 Any purchase conditions of the customer are expressly rejected.
1.3 Stilo reserves the right to amend these terms from time to time. The version valid at the date of your order applies.
2. Quotations and Orders
2.1 All quotations are non-binding and valid for 30 days, unless stated otherwise.
2.2 Orders are only binding once confirmed in writing by Stilo.
2.3 For bespoke or customised products, production starts only after written order confirmation and receipt of the required prepayment.
3. Prices and Payment
3.1 All prices are in euros (€), excluding VAT, transport, and any import duties, unless otherwise stated.
3.2 Payment must be made within the agreed payment term stated on the invoice.
3.3 Ownership of goods remains with Stilo until full payment has been received.
3.4 In case of late payment, Stilo reserves the right to suspend further deliveries and charge statutory commercial interest and collection costs.
4. Delivery and Risk
4.1 Delivery terms are indicative only. Delays do not entitle the customer to compensation or cancellation of the order.
4.2 Risk and responsibility for the goods pass to the customer from the moment the goods leave our warehouse or when handed over to the carrier.
4.3 The customer is responsible for inspecting goods immediately upon receipt. Any visible damage or shortages must be reported in writing within five (5) business days.
5. Warranty
5.1 Stilo warrants that its products are free from material and manufacturing defects under normal use and maintenance.
5.2 Unless otherwise stated in product documentation:

Stainless steel structural parts are covered by a 10-year warranty against corrosion or material failure.

All other components and accessories carry a 2-year manufacturer’s warranty.
5.3 The warranty does not cover defects resulting from improper installation, misuse, lack of maintenance, alterations, or external factors such as frost, chemical exposure, or force majeure.
5.4 The warranty is limited to repair or replacement of the defective part at Stilo’s discretion.
5.5 Warranties are non-transferable and valid only for the original purchaser.
6. Returns and Cancellations
6.1 Orders for standard products may be cancelled only with Stilo’s written consent and before shipment. A cancellation fee may apply.
6.2 Custom or made-to-order products cannot be cancelled once production has begun.
6.3 Returns are accepted only with prior written approval and must be unused, in original packaging, and accompanied by proof of purchase.
7. Liability
7.1 Stilo’s liability for any claim arising out of or relating to the contract, whether in contract, tort, or otherwise, is limited to the invoice value of the goods concerned.
7.2 Stilo shall not be liable for indirect or consequential losses, including loss of profit, loss of business, or damage caused by third parties.
7.3 The customer is responsible for ensuring correct installation, safe operation, and compliance with all local laws and regulations.
8. Retention of Title
8.1 Ownership of delivered goods remains with Stilo until full payment has been received.
8.2 Until ownership passes, the customer must keep the goods clearly identifiable and may not resell or pledge them without Stilo’s written consent.
9. Force Majeure
9.1 Stilo is not liable for any failure or delay caused by circumstances beyond its reasonable control, including but not limited to natural disasters, transport disruptions, strikes, pandemics, or supplier delays.
10. Governing Law and Jurisdiction
10.1 These Terms & Conditions and any agreements arising from them are governed by the laws of the Netherlands.
10.2 Any disputes shall be submitted exclusively to the competent court in Amsterdam, the Netherlands.
